CUSTOMER AGREEMENT
You (“Customer’) agree to the following terms and conditions (these “terms”) in connection with your order (“Order”) of any accessory structure (the “Structure”) from Velocity Storage Solutions (“VSS”) or Sheds Direct Inc. (“SDI”) or another partner.
Acceptance The order will be deemed accepted by SDI upon Customer's (i) execution of a sales order for the Structure and (ii) satisfaction of all pre-delivery payment and/or financing obligations, including, as applicable, providing the requisite down payment or receiving financing approval from an authorized lender ("Acceptance").
Cancellation The order may be cancelled by Customer without penalty within (i) 3 business days, for a pre-assembled Structure from an authorized SDI dealer lot (an "Off-the-Lot Structure"), or (ii) 7 business days, for a custom-designed Structure (a "Build-to-Order Structure"), in each case measured from the day Acceptance occurs (each such period, the "Cancellation Period"). If the Order is cancelled by Customer during the applicable Cancellation Period, SDI shall refund any amounts paid by Customer to SDI in respect of such Order. If customer cancels the Order outside the applicable Cancellation Period, Customer will be charged a cancellation fee equal to 10% of the total purchase price of the Structure. SDI may cancel the Order at any time, in which case SDI shall refund any amounts paid by Customer to SDI in respect of such Order. Metal structures are nonrefundable as materials begin customization as soon as order is submitted.
Modifications If the Order is for a Build-to-Order Structure, Customer may modify the Order at no additional charge within 3 business days (the "Modification Period") of Acceptance. Following the Modification Period, any modifications submitted by Customer will require a written change order signed by a duly authorized representative of SDI (a "Change Order"). Customer shall be responsible for any additional costs incurred by SDI on account of a modification submitted after the Modification Period, which additional costs shall be set forth in the applicable Change Order. Once SDI has begun manufacturing the Build-to-Order Structure, no modifications will be permitted. NO modifications on metal structures as building material is customized as soon as order is submitted.
Delivery Customer shall specify the address to which the Structure will be delivered (the "Delivery Location"), and Customer and SDI will agree on an estimated time period during which SDI (or its vendor) will deliver the Structure to such location (the "Delivery Window"). Customer acknowledges that the Delivery Window is not a firm commitment by SDI to deliver the Structure during such timeframe. Customer may change the Delivery Window (i) for Off-the-Lot Structures, at any time more than 72 hours prior to such Delivery Window, and (ii) for Build-to-Order Structures, at any time within 7 business days of SDI's Acceptance of the applicable Order. SDI may charge Customer a $250 fee for any changes to the Delivery Window that occur outside the timeframes set forth in this Section 4(a). Once the building is set up, an additional set up fee will be required to move the building and set it up again.
Customer Responsibilities Prior to the Delivery Window, Customer shall take the following actions (the "Customer Responsibilities"):
- Customer shall choose an area at the Delivery Location where the Structure will be placed (the "Placement Area"). The dimensions of the Placement Area shall be large enough to accommodate the Structure.
- Customer shall create a clear and unobstructed path at the Delivery Location from the nearest public road to the Placement Area. At a minimum, Customer shall ensure such path is at least 2 feet wider than the width of the Structure and has at least 14 feet of vertical clearance.
- Customer shall clear the Placement Area and take all necessary steps to prepare the Placement Area to accommodate the Structure, without any additional preparation by SDI. This shall include, at a minimum, removing all trees, stumps, limbs and other obstacles that could reasonably be expected to impede the delivery, assembly or placement of the Structure.
- Customer shall obtain all necessary permits, consents, licenses and approvals that are necessary for (1) SDI to deliver, assemble, secure or erect the Structure at the Delivery Location and (2) Customer to own or possess the Structure at the Delivery Location, including, without limitation, any approvals required by zoning laws or any homeowners association.
- Customer shall make all reasonable efforts to be present at the Delivery Location during the Delivery Window. Customer shall notify SDI in advance if Customer will not be present during such time, in which case SDI may (in its sole discretion) refuse to deliver the Structure until Customer has either (1) paid for the Structure in full or (2) specified another time during which Customer will be present at the Delivery Location. If SDI chooses to proceed with delivery notwithstanding Customer’s absence, SDI will notify Customer and Customer shall conspicuously mark the outer boundaries of the Placement Area and the precise location where the Structure’s entryways (e.g., doors) are to be positioned.
- If anchors will be required to erect and secure the Structure at the Delivery Location, Customer shall contact the local utility providers (by calling 811 or visiting www.call811.com) to have the Delivery Location surveyed for underground utility lines and other hazards. The location of such utility lines and/or other hazards shall be conspicuously marked at the Delivery Location. Customer will be responsible for any damages (including damage to any utility line and any losses resulting therefrom) caused by Customer’s failure to comply with the obligations in this Section.
- If the Structure has a width or length of 14 feet or more, Customer shall have a survey of the Delivery Location conducted to ensure such location is suitable to accommodate the Structure. Such survey shall be conducted by an authorized SDI dealer and shall be signed by Customer.
- If for any reason Customer fails to accept delivery of the Structure at the Delivery Location, the (i) risk of loss to the Structure shall pass to Customer; (ii) the Structure shall be deemed to have been delivered; and (iii) SDI, at its option, may store the Structure until Customer and SDI agree on a new Delivery Window, whereupon Customer shall be liable for all related costs and expenses (including storage costs).
- In the event Customer fails to comply with any of the Customer Responsibilities, SDI may (in its sole discretion) decline to deliver the Structure and may charge Customer a $250 re-delivery fee. If any additional site-preparation work is required on account of Customer’s failure to comply with the Customer Responsibilities, such work will be charged to Customer at $100 per hour. Customer will be charged a cancellation fee equal to 10% of the total purchase price of the Structure or will be required to forfeit the down payment if it is a RTO purchaseNotwithstanding the foregoing, if SDI has credit card information on file for Customer, Customer hereby authorizes SDI to charge any amounts owed under this Section 4 directly to such credit card, provided that SDI shall give Customer notice prior to any such charge.
